Warning: Be sure the desk is clear from obstructions below and above before adjusting the desk's height. Always have your desk nearby and within visual sight while using the app. Ensure cords connected to devices on the desk will not pull devices off of the desk when the desk moves vertically. Failure to comply can result in product damage and serious personal injury.
The app stores data entered into the app, but no data is provided to UPLIFT Desk or anyone else. The app requires the desk to have an UPLIFT Desk Bluetooth Adapter and will not work without one. We reserve the right to make changes to the app at any time. There is no guarantee that we will update the app, but if we do, you will be required to either update the app or discontinue use. We may terminate the app at any time without notice, at which time you must discontinue use. If the app is terminated and if requested by you, we'll provide a refund for any app-related bluetooth adapter you purchased separately. The app is for personal use only and is provided at no cost.
Disclaimer of Warranties: The app is provided on an as-is basis. As such, we disclaim all warranties about the app to the fullest extent permitted by law.
Disclaimer of Liability: Under no circumstances shall UPLIFT Desk or its affiliates, partners, suppliers, or licensors be liable for any indirect, incidental, consequential, special or exemplary damages arising out of or in connection with your access or use of or inability to access or use the application and any third party content and services, whether or not the damages were foreseeable and whether or not UPLIFT Desk was advised of the possibility of such damages. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdiction, our liability shall be limited to the maximum extent permitted by law.
Indemnification: You agree to indemnify, defend and hold harmless UPLIFT Desk and our parent Square Grove LLC, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third-party due to or arising out of your breach of the Agreement or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
Term and Termination: This Agreement shall remain in effect until terminated by you or UPLIFT Desk. UPLIFT Desk may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice, This Agreement will terminate immediately, without prior notice from UPLIFT Desk, in the event that you fail to comply with any provision of this Agreement. You may also terminate the Agreement by deleting the Application and all copies thereof from your device. Upon termination of this Agreement, you shall cease all use of the Application and delete all copies of the Application from your mobile devices or tablets.
Severability: If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in effect.
Governing Law: This agreement and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the United States, State of Texas, County of Travis, and the City of Austin.
